THE COMPANIES ACT
(CAP 486)

NOTICE
is hereby given to the Directors of all companies incorporated in Kenya that, in terms of the provisions of the Section 125 (1) of the Companies Act (Cap. 486 Laws of Kenya). It is mandatory for all companies to file Annual Returns with the Registrar.

All companies should therefore file all outstanding Returns within (30) days from the date hereof, failure to which the defaulting companies shall be struck off the register and thereafter the registry shall not entertain any dealings whatsoever on the said files.

The annual returns should only be filed by persons qualified under S.20 of the Certified Public Secretaries Act Cap 534 of the Laws of Kenya.

All persons including financial institutions, are encouraged to ensure, as part of their basic due diligence, that companies they intend to have dealings with are not at risk of being struck off for failure to comply with the aforesaid provisions of the Companies Act.

We refer to the Registrar General’s Notice to the Directors of all Companies incorporated in Kenya, which appeared in the Daily Nation and the Standard Newspapers of Tuesday, September 29, 2009 regarding filling of Annual Returns of Companies with the Registrar.

We wish to bring to your attention that vide gazette supplement No. 84 (Acts No. 9) of 1988, the Companies Act, Cap 486 of the Laws of Kenya, was amended by insertion of Section 178 (1) (A), which makes it a statutory requirement for all Companies incorporated in Kenya to have a Company Secretary, who must be qualified as per Section 20 of the Certified Public Secretaries (CPS) Act Cap 534 of the Laws of Kenya. Such qualified persons are the registered members of the Institute of Certified Public Secretaries of Kenya. (ICPSK).

It is an offence under Section 35 of the CPS Act for any person to assume or use the title or designatory letters “Certified Public Secretary (CPS)”, when the person is not a Member of the ICPSK. Directors are notified that all statutory documents filed by such a person will be null and void.

To verify the details or establish the status of any person purporting to act as a Certified Public Secretary, kindly contact the undersigned.
