{"id":268,"date":"2013-11-27T08:00:22","date_gmt":"2013-11-27T08:00:22","guid":{"rendered":"http:\/\/www.dolphinsgroup.co.ke\/sam-muchai\/?p=268"},"modified":"2013-11-27T08:00:22","modified_gmt":"2013-11-27T08:00:22","slug":"proper-use-of-a-non-disclosure-agreement-to-protect-your-technology","status":"publish","type":"post","link":"https:\/\/www.dolphinsgroup.co.ke\/sam-muchai\/?p=268","title":{"rendered":"Proper use of a Non-Disclosure Agreement to Protect Your Technology&#8230;"},"content":{"rendered":"<p><a href=\"http:\/\/www.dolphinsgroup.co.ke\/sam-muchai\/wp-content\/uploads\/2013\/11\/24.jpg\"><img loading=\"lazy\" class=\"size-medium wp-image-269 aligncenter\" title=\"sam muchai blog\" src=\"http:\/\/www.dolphinsgroup.co.ke\/sam-muchai\/wp-content\/uploads\/2013\/11\/24-300x200.jpg\" alt=\"sam muchai blog\" width=\"300\" height=\"200\" srcset=\"https:\/\/www.dolphinsgroup.co.ke\/sam-muchai\/wp-content\/uploads\/2013\/11\/24-300x200.jpg 300w, https:\/\/www.dolphinsgroup.co.ke\/sam-muchai\/wp-content\/uploads\/2013\/11\/24.jpg 507w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/><\/a><\/p>\n<p>An NDA has to be properly prepared and used.<\/p>\n<p>Confidential information &#8211; trade secrets, know-how and other proprietary information &#8211; can be the most valuable intellectual property a business owns.\u00a0 Whether it&#8217;s a special formula, customer list, source code or system, confidential information has great value.<\/p>\n<p>With all confidential information, once it&#8217;s disclosed without restriction, it&#8217;s gone.\u00a0 The information is free for the recipient to use.\u00a0 So, proper protection of this valuable resource is critical.<\/p>\n<p>The first thing to know about NDAs is when not to use them.<\/p>\n<p>Think blind date.\u00a0 If you were to go on a blind date and started talking about marriage and how many kids you wanted, your date would probably run for the hills.<\/p>\n<p>The same applies to NDAs.\u00a0 Never enter an NDA or disclose confidential information when you&#8217;re just talking about a possible relationship.\u00a0 It&#8217;s rare that the other side needs to know the particulars about your technology in order to initiate discussions.<\/p>\n<p>The first discussion should always be one relating to business arrangements, rather than in depth disclosures about the technology.<\/p>\n<p>Why?\u00a0 Because once confidential information is disclosed it&#8217;s out there.\u00a0 You can&#8217;t &#8220;undisclose&#8221; it.\u00a0 While an NDA can be enforced, enforcement is costly and time consuming.\u00a0 And how much damage will be done before a court gets around to your case?<\/p>\n<p>There&#8217;s no reason to disclose confidential information too early.<\/p>\n<p>Next, when its time for an NDA, it should be tailored to the particular discussions that will take place.\u00a0 Many times I&#8217;ve looked at NDAs for clients and found definitions of Confidential Information include everything the parties discuss.\u00a0 Confidential information should be defined around the particular technology and discussion purposes.<\/p>\n<p>This means that, when one party is disclosing their technology and the other party is evaluating the technology, there&#8217;s no need for a mutual NDA.\u00a0 With a mutual NDA and a broad definition of confidential information, you might not be able to utilize improvements suggested by the other side.<\/p>\n<p>But, more importantly, if the suggestion was already in the works as an improvement to your technology, you open your company up to a lawsuit.\u00a0 The other party could claim you breached the &#8216;mutual&#8217; NDA by using their suggestion even if you didn&#8217;t.<\/p>\n<p>Perhaps the most egregious mistake when it comes to non-disclosure agreements is agreeing to a time limit on the obligation to maintain confidentiality.\u00a0 I&#8217;ve seen agreements where that limit was as short as two or three years.<\/p>\n<p>In fact, the agreement should require that information be maintained as confidential as long as it is secret and proprietary.<\/p>\n<p>Consider some very important confidential information, the secret formula for Coca Cola.\u00a0 That&#8217;s been a secret for well over 100 years.\u00a0 Could you imagine if the founder of Coke had agreed to a three-year limit on a confidentiality obligation?<\/p>\n<p>You probably don&#8217;t know the shelf life of your confidential information.\u00a0 So be sure not to limit it arbitrarily.<\/p>\n<p>When you have valuable confidential information in your business, a non-disclosure agreement is one of the most important contracts you&#8217;ll enter.\u00a0 Be sure to know how to limit your risks and maximize your protection with the right NDA.<\/p>\n<p>Give me a call if you have any questions about your NDA.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>An NDA has to be properly prepared and used.
